Alpsaxis Service Agreement

1. Introduction
This Service Agreement (“Agreement”) is entered into between Alpsaxis (“Company”, “we”, “our”, or “us”) and the client (“Client”, “you”, or “your”) who engages our AI automation, marketing, or consulting services (the “Services”).
By using, purchasing, or accessing any of our Services, you agree to be bound by the terms of this Agreement.
2. Scope of Services
Alpsaxis provides a range of AI and digital solutions, including but not limited to:
AI advertising and lead generation systems
AI receptionist and automation setup
Workflow automation and system integration
Marketing strategy, consulting, and training
Each engagement will include a written service outline or proposal specifying deliverables, timelines, and pricing.
3. Client Responsibilities
To ensure successful delivery, you agree to:
Provide timely access to all required accounts, data, and assets (e.g., ad accounts, calendars, CRM access).
Respond to communication and feedback requests promptly.
Use the Services in compliance with all applicable laws and regulations.
Not misuse, duplicate, or resell any systems, templates, or intellectual property provided by Alpsaxis.
Failure to provide required access or information may delay project delivery and is not grounds for refund.
4. Fees, Payments & Billing
All fees and pricing will be clearly stated in your proposal, checkout, or invoice.
Payments are due as outlined in your invoice or subscription agreement.
Setup fees are non-refundable once work has commenced.
Ongoing retainers, subscriptions, or per-lead billing are charged as agreed upon.
Payments are processed securely through Stripe, PayPal, or other approved gateways.
Late or failed payments may result in suspension of Services until the account is brought current.
5. Refunds & Cancellations
Due to the customized nature of our systems and AI setups, all payments are final once work begins.
Refunds will only be considered in cases where:
Alpsaxis fails to deliver the agreed-upon Services within the specified timeframe, and
The Client has met all access and communication requirements.
Cancellations of subscriptions or performance-based agreements must be requested in writing with 7 business days’ notice before the next billing cycle.
6. Performance Disclaimer
While Alpsaxis utilizes best practices and proven systems, we do not guarantee specific results, such as revenue, lead volume, or conversion rates.
Performance outcomes depend on numerous factors outside our control, including:
Market conditions
Ad platform algorithms
Client responsiveness and internal processes
All Services are provided on a best-effort basis.
7. Confidentiality
Both parties agree to maintain strict confidentiality regarding proprietary information, data, and business processes shared during this engagement.
Confidential information will not be disclosed to any third party without prior written consent, except as required by law.
8. Intellectual Property
All tools, systems, workflows, templates, and AI configurations developed by Alpsaxis remain the intellectual property of Alpsaxis unless otherwise agreed in writing.
The Client receives a non-transferable, limited-use license to use the delivered assets solely within their own business.
You may not copy, resell, or distribute any materials or systems provided without express written consent.
9. Limitation of Liability
To the fullest extent permitted by law, Alpsaxis shall not be liable for:
Any indirect, consequential, or incidental damages
Loss of profits, data, or business opportunities
Downtime, system errors, or third-party integration failures
Our total liability under this Agreement shall not exceed the total amount paid by the Client for Services within the previous 12 months.
10. Termination
Either party may terminate this Agreement by written notice if the other party:
Breaches a material term of this Agreement and fails to remedy within 10 business days, or
Engages in fraudulent or unlawful activity.
Upon termination, the Client remains responsible for all outstanding payments up to the termination date.
11. Indemnification
You agree to indemnify and hold harmless Alpsaxis, its employees, contractors, and partners from any claims, losses, or damages resulting from:
Your use or misuse of the Services
Your breach of this Agreement
Any content, data, or materials you provide to us
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Western Australia, Australia.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Perth, Western Australia.
13. Changes to This Agreement
We may update this Service Agreement from time to time. The most current version will always be available on our website.
Continued use of our Services after any changes constitutes acceptance of the revised terms.
